LOCATION: Cape Town, New Role.Created as a result of prior person moving to Head up Risk in the company.R HIGHLY NEGOTIABLE PLUS ANNUAL PERFORMANCE BONUSOur client who has been established in South Africa and investing on behalf of clients and has grown to become one of Africa's largest investment management companies. This company is an investment management firm focussed on building long-term wealth for their clients. The company's primary goal is to achieve long term wealth creation for its clients.JOB DESCRIPTION WILL INCLUDE BUT NOT BE LIMITED TO:

  • You will be required to provide support for company secretary and corporate governance functions for all company entities. You are a strategic implementer with knowledge and experience of relevant legislation is required to fulfil this role. Knowledge of the company would be a distinct advantage;
  • You will be required to ensure the company group compliance with company secretarial legislation and relevant regulations;
  • You will be required to ensure the company group compliance with regional corporate governance requirements and standards;
  • You will be required to implement the requirements of the company secretary framework as designed by company secretary operations team and approved by the audit committee;
  • You will be responsible for planning: draft yearly work plans (standing agenda) (ensuring compliance with regulatory requirements applicable to the board) and set agendas, with lead executive and chair including sending reminders to internal staff;
  • You will be responsible for minute-taking: take minutes at board meetings (not all), ensuring adequate records to demonstrate good governance and compliance with regulatory obligations;
  • You will be responsible for reporting to board on governance obligations, including maintenance of board charters and committee terms of reference in line with regulatory and governance requirements (provide guidance to directors as to their duties and obligations, make directors aware of all relevant laws, timeously and effectively raise matters that may warrant the attention of the board);
  • You will be required to review agendas, minutes, work-plans and oversight over board meeting processes;
  • You will be required to oversee and direct the activities of the company secretary operations team and prepare and record technical interpretation and analysis of the work of the company secretary operations team;
  • You will be required to provide excellent service in all areas of this role.

CORE QUALIFICATIONS AND EXPERIENCE:
  • You have a legal degree with 4 years post-articles experience;
  • You are a CA(SA) with 4 years post-articles experience; you may be in a governance role and keen to move into something different in a top firm;
  • You have knowledge of Companies Act in all company operating regions (South Africa, Namibia and Botswana) - this would be a distinct advantage;
  • You have knowledge of corporate governance requirements in all company operating regions - this would be a distinct advantage;
  • You have the ability to interpret relevant legislation and keep up to date with any changes;
  • You have the ability to design and implement process changes to ensure compliance with all relevant legislation and governance standards;
  • You have experience working with senior leadership at a professional advisory level - this would be a distinct advantage.
Mostly you are smart, capable, interested in this area of the business and could hold your own in a room of CIO's and CEO's and be diligent, accurate and very hard working. You would be given huge scope and it's a very important role for their business so rewarded accordingly.
