We are searching for a highly motivated and energetic Compliance Officer to ensure that the Fund complies with all relevant laws, regulations, and internal policies.OPPORTUNITYWe are searching for a highly motivated and energetic Compliance Officer to ensure that the Fund complies with all relevant laws, regulations, and internal policies.Overall, the role of the Compliance Officer is critical in safeguarding the funds reputation, protecting investors' interests, and ensuring that the fund operates with integrity and in full compliance with all applicable laws and regulations.ABOUT THE FUNDThe NIF is a South Africa-based infrastructure Fund pursuing investments and development of infrastructure opportunities.The Fund is anchored by Gap Infrastructure Corporation (GIC) (https://www.gic.co.za/). GIC is a leading infrastructure developer bridging the gap between public and private sector partnerships to build, design, and finance a brighter future for our partners and communities alike. The company is headquartered in Centurion, South Africa. GIC invests in various infrastructure sub-sectors, including water, housing, health, and transportation.ROLE OVERVIEW AND RESPONSIBILITIESThe Compliance Officer ensures that the Infrastructure Fund operates with integrity, transparency, and accountability, minimizing reputational risk and potential financial losses. The CO will be responsible for, inter alia,

  • Regulatory Compliance: Ensuring the fund complies with relevant laws, regulations, and industry standards, and ensuring that the fund complies with regulatory requirements related to investments, disclosures, reporting, and other activities
  • Risk Management: Identifying and mitigating potential compliance risks.
  • Policy Development: Development and implementation of compliance policies and procedures tailored to the specific activities of the Fund. Creating and updating compliance policies and procedures. Examples of policies include conflict of interest, insider trading, anti-money laundering, and cybersecurity.
  • Training and Awareness: Educating fund staff on compliance matters.
  • Monitoring and Reporting: Continuously monitoring compliance and reporting breaches or violations.
  • Audit and Due Diligence: Participating in internal audits and due diligence exercises.
  • Stakeholder Engagement( Reporting and Communication): Communicating with regulators, investors, and other stakeholders on compliance matters. The CO serves as the primary point of contact with regulatory authorities, auditors, and other external stakeholders on compliance-related matters.
  • Conflict of Interest: Identifying and managing potential conflicts of interest.
  • Data Protection: Ensuring the fund's data protection practices meet regulatory requirements.
  • Code of Ethics: Promoting a culture of ethics and compliance within the fund.
Support MD- - Supporting the MD to further operationalise the Fund.- - Support the establishment and development of the Funds policies, governance structures, business plans, and strategies in alignment with the NIFs goals and objectives.- - Support the MD to attract additional capital for the Fund, project development partners, and leveraging third-party co-investment for opportunities, from local and international partners and players (whether financial or strategic).REQUIRED SKILLS, EXPERIENCE AND ATTRIBUTESCore competencies and experienceOverall, the Compliance Officer of an infrastructure fund should possess a combination of regulatory knowledge, compliance expertise, risk management skills, communication abilities, and ethical standards to effectively fulfill the responsibilities of the role and ensure the fund's compliance with all applicable laws and regulations.Here are some core competencies and experiences that are essential for a Compliance Officer:
  • Regulatory Knowledge: In-depth understanding of relevant laws, regulations, and guidelines governing infrastructure funds, including securities laws, anti-money laundering regulations, and other regulatory requirements specific to the fund's activities.
  • Compliance Expertise: Strong knowledge of compliance best practices, industry standards, and regulatory trends in the infrastructure investment space. Experience in developing, implementing, and managing compliance programs.
  • Risk Management Skills: Ability to identify, assess, and mitigate compliance risks associated with infrastructure fund activities. Experience in conducting risk assessments and developing risk mitigation strategies.
  • Policy Development: Proficiency in developing, implementing, and maintaining compliance policies and procedures tailored to the unique activities and risk profile of an infrastructure fund.
  • Investigative Skills: Experience in conducting compliance investigations, including the ability to gather and analyze evidence, identify root causes of compliance issues, and develop remediation plans.
  • Communication Skills: Strong written and verbal communication skills to effectively communicate compliance requirements, issues, and updates to senior management, employees, regulatory authorities, and other stakeholders.
  • Training and Education: Experience in designing and delivering compliance training programs to educate employees on compliance obligations, ethical standards, and regulatory requirements.
  • Audit and Examination Experience: Familiarity with regulatory examinations, audits, and inspections. Experience in preparing for and managing regulatory examinations and audits of infrastructure fund compliance programs.
  • Legal Background: A legal background or experience working closely with legal counsel can be beneficial for interpreting and applying complex regulatory requirements and legal obligations relevant to the infrastructure fund.
  • Strong ethical standards and integrity: Uphold a culture of compliance and ethical behaviour within the infrastructure fund.
  • Industry Knowledge: Understanding of the infrastructure investment industry, including the fund's investment strategies, asset classes, and typical investment structures.
Certifications:Relevant professional certifications such as:-Certified Compliance Professional (CCP)-Certified Anti-Money Laundering Specialist (CAMS)-Certified Financial Crimes Specialist (CFCS)-Certified Information Privacy Professional (CIPP)-Certified Regulatory Compliance Manager (CRCM), or other compliance-related certifications will be valuable.Education:-Bachelor's or Master's degree in a related field such as:-Law (LLB, LLM)-Finance (BSc, MSc)-Business (MBA)-Accounting (CA, CPA)-Economics (BSc, MSc)Relevant work experience in:-Compliance-Legal-Risk management-Audit-FinanceAn understanding of:-the role that infrastructure plays in shaping the economy locally and globally-the role that infrastructure plays in creating value for stakeholdersAn understanding of new trends in the infrastructure sector locally and globally.Knowledge of various infrastructure sub-sectors such as water, transportation, energy, etc.An understanding of the current participants in the South African and global infrastructure sector, and the players that have the potential to be future participants and partners.Highly proactive, with an entrepreneurial attitude.Highly energetic, hands-on, and motivated to help create, build-out, and shape project development opportunities from an early stage.Experience in financing first-of-kind projects and associated risk managementStrong interest in South Africa and contributing to the development of the local economy and infrastructure eco-systemCreative and innovative, desire to think and deliver beyond minimum deliverables - the ability to think on your feetOther Skills, Experience, and Attributes:At least 5-7 years of experience in compliance, legal, or risk management roles.In-depth knowledge of regulatory requirements and industry standards relevant to infrastructure funds.Strong understanding of financial markets, instruments, and transactions.Familiarity with compliance software and systems.Excellent analytical, communication, and problem-solving skills.Ability to work independently and collaboratively as part of a team.Strong leadership and management skills (for senior compliance roles).Continuous professional development and staying up-to-date with evolving regulatory requirements.Industry knowledge: Familiarity with the infrastructure sector, including trends, risks, and regulatory requirements.Data analysis skills: Ability to collect, analyze, and interpret large data sets.REMUNERATIONCompensation will depend on relevant experience and include base salary and variable performance-related elements at the discretion of the Fund.CONTACT DETAILSFor more information on the role, please contact:Chucheka Mhlongo, Managing DirectorEmail: chucheka@gic.co.za/chucheka@nifund.co.za
